Terms of service
Effective October 17, 2026
These Terms of Service (“Terms”) are an agreement between you and ViableTeck (“ViableTeck”, “we”, “us”) covering your use of GridSocial, the website at gridsocial.app and related services (the “Service”). Please read them carefully.
1. Accepting these Terms
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service for an agency or other organisation, you confirm that you have authority to accept these Terms for it, and “you” includes that organisation. You must be at least 18 years old.
2. The Service
GridSocial lets agencies connect their clients' Google Ads, Meta and Microsoft Advertising accounts, see performance in one place, prepare changes to campaigns and publish them after approval. We may add, change or remove features over time. We will give reasonable notice before removing a major feature that you rely on.
3. Accounts
- Give accurate information and keep it up to date.
- Keep your sign-in details confidential. You are responsible for all activity under your account.
- Tell us straight away at support@viableteck.ai if you suspect unauthorised use.
- Agency administrators control who in their agency has access and what role each person has.
4. Connecting ad accounts
When you connect an ad account, or invite a client to connect one, you confirm that:
- you or your client own the account or are authorised to manage it, and to let GridSocial access it;
- you will follow the terms and policies of each platform, including the Google Ads API Terms and Google Ads policies, the Meta Terms, Meta Advertising Standards and Meta Platform Terms, and the Microsoft Advertising terms and policies;
- your relationship with each platform is governed by your own agreement with it. We are not responsible for the platforms' services, actions, policies, outages or account decisions.
You can disconnect an account at any time by revoking access on the platform or contacting us.
5. Changes to ad accounts and ad spend
GridSocial only publishes changes to an ad account after a user of your agency approves them. Recommendations, drafts and forecasts are suggestions. You are responsible for reviewing them before approval. You are solely responsible for:
- all ad spend, budgets and bids in your connected accounts, and payments owed to the platforms;
- the content of your ads and creatives, and their compliance with law and platform policies;
- the results of changes you approve.
6. Acceptable use
You agree not to:
- use the Service for anything unlawful, deceptive or that breaches a platform's policies;
- access accounts or data you are not authorised to access;
- upload malware, or content that infringes others' rights;
- probe, scan or test the Service's vulnerabilities without our written permission;
- overload or disrupt the Service, or get around rate limits or security measures;
- reverse engineer the Service, except where the law allows;
- resell the Service or use it to build a competing product.
7. Your data
You (and your clients) keep all rights in the data and creatives you bring into the Service (“Customer Data”). You give us a limited licence to host, copy, process and transmit Customer Data only as needed to provide, secure and support the Service. We handle Customer Data as described in our Privacy Policy, and we do not sell it or use it for advertising. Where we process personal data for you, we will sign a data processing agreement on request.
8. Fees
GridSocial is currently offered as an early-access beta at no charge. Before any paid plan applies to you, we will show you the price and terms, and you will need to agree to them. Paid plans will be billed in advance, and taxes are your responsibility.
9. Beta features
Early-access and beta features are provided to try out. They may change, have errors or be withdrawn, and are provided “as is” without any service level commitment.
10. Suspension and termination
- You can stop using the Service and close your account at any time.
- We may suspend or end your access if you materially breach these Terms, create a risk to the Service, other users or the platforms, or if the law or a platform requires it. Where reasonable, we will tell you first and give you a chance to fix the problem.
- After your account closes, we delete Customer Data within 30 days, as described in our data deletion instructions. Ask us before then if you want an export.
- Sections 5, 7 and 11 to 16 continue after termination.
11. Our intellectual property
ViableTeck owns the Service, the GridSocial name and logo, and all related software and content, apart from Customer Data. These Terms do not give you any rights in them except the right to use the Service. If you send us feedback, we may use it without any obligation to you.
12. Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free, that data from the platforms will be complete or up to date, or that using the Service will improve your advertising results.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or ad spend. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. These limits do not apply to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify ViableTeck against third-party claims arising from your Customer Data, your ads, your breach of these Terms or a platform's terms, or your use of a client account you were not authorised to use.
15. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Multnomah County, Oregon have exclusive jurisdiction, and both parties consent to them. Before going to court, we each agree to try to resolve a dispute informally for 30 days. Nothing here takes away rights you have as a consumer under the law of your country.
16. General
- Changes: we may update these Terms. For material changes, we will notify you by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept them.
- Entire agreement: these Terms, the Privacy Policy and any order form or data processing agreement we sign are the whole agreement between us.
- Assignment: you may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Severability and waiver: if part of these Terms is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including platform outages.
